- The seller (“Seller” or "You"), desires to use Leadvisor's platform to offer and sell products to potential clients and customers;
- Leadvisor and the Seller wish to enter into this Agreement to set forth the terms and conditions under which the Seller may list, market, and sell its Products through Leadvisor's e-commerce platform marketplace;
- Leadvisor aims to build trust, transparency, and exceptional e-commerce service to ensure continued client engagement and success of the platform and its Sellers;
- This Agreement is designed to govern the rights and obligations of both parties in connection with the Seller's use of Leadvisor's Platform, including but not limited to account registration, product listing, order fulfillment, payment terms, intellectual property rights, confidentiality, data protection, and dispute resolution.
I . Seller Onboarding Process
1.1 Application and Verification
All prospective Sellers must complete the Seller application form available from the Platform. Applicants must provide accurate and complete information, including but not limited to business licenses, tax identification numbers, valid identification documents, firm introduction, professional certificates, and profiles of major practicing personnel. We reserves the right to verify the authenticity of the submitted documents. Sellers must comply with all onboarding requirements and may be subject to periodic reviews and audits.
1.2 Approval and Onboarding
Upon successful verification, applicants will receive an approval notification and access to their Seller authorization. Sellers are required to complete our mandatory training modules provided by our Platform Operations & IT team, which cover Platform usage, compliance with our policies, and best practices for selling. Continuous compliance is expected, and non-compliance may result in suspension or termination of Seller privileges.
II. Product Categories
2.1 Diversification and Relevance
Products listed on the the Platform can be diversified but must relate to the business life cycle and be professional services that are productized. These Products must comply with the laws, regulations, and professional ethics of the relevant jurisdictions worldwide.
2.2 Digital Delivery
All Products should be capable of being delivered in digital form, ensuring seamless and efficient transactions between Sellers and Clients.
2.3 Submission and Approval
Sellers are required to submit detailed product introductions, samples, files, and proposed prices to the Platform for review. Leadvisor will evaluate and approve these submissions before they can be listed on the Platform. This process ensures that all Products meet our quality standards and regulatory requirements.
III. Listing and Content Guidelines
3.1 Content Accuracy
Sellers are obligated to ensure that all content associated with their product listings, including but not limited to titles, descriptions, and images, accurately represents the Products offered. The dissemination of misleading, deceptive, or false information is strictly prohibited and may result in immediate removal from the Platform.
3.2 Intellectual Property
Sellers must guarantee that all content provided for their listings adheres to intellectual property laws and does not infringe upon the rights of third parties. Unauthorized use of copyrighted materials, trademarks, or any other intellectual property is strictly prohibited. Sellers must possess the necessary rights, licenses, or permissions to utilize any content included in their listings.
3.3 Regular Updates
Sellers are required to maintain the accuracy and relevance of their listings by regularly updating product availability, pricing, and specifications. It is imperative that any outdated or incorrect information is promptly corrected. Any modifications to product details must be accurately reflected in the listings in a timely manner.
3.4 Content Quality
Sellers must ensure that all visual and descriptive content adheres to the Platform’s quality standards, which include, but are not limited to, the use of high-resolution images and comprehensive, precise descriptions. This requirement aims to facilitate informed purchasing decisions by Clients and uphold the professional standards of the Platform.
3.5 Platform Rights to Inquiry and Feedback
Leadvisor reserves the right to conduct inquiries with Sellers, request reports, or solicit feedback regarding the Products and other content listed on the Platform. This is to ensure compliance with the Platform's standards, professional requirements, and guidelines, and to maintain the integrity and quality of the e-commerce service provided.
IV. Fees and Payment Terms
4.1 Product Pricing
Sellers shall retain the right to establish and determine the pricing for the products or services they display on the E-commerce Platform. It is incumbent upon Sellers to ensure that all pricing complies with applicable laws and regulations and accurately reflects the value of the offered Products. All Products should be delivered to Clients in digital form to ensure seamless transactions and fulfillment.
4.2 Client Payment Path
Clients who purchase Products through the E-commerce Platform shall remit payments directly to Leadvisor. Following receipt of such payments, Leadvisor will disburse the corresponding amounts to the Seller in accordance with the established settlement rules. This process ensures the efficient flow of transactions and accurate record-keeping for both parties.
4.3 E-commerce Platform Service Fee
The Seller shall pay service fees as charged by Leadvisor for the utilization of the Platform and any ancillary services. The service fee for the Platform is established at twenty percent (20%) of the total sales revenue of the Products. Sellers will be duly informed of any updates to the fee structures, standards, and methods via email or as an attachment to this Seller Agreement.
4.4 Settlement
Leadvisor shall meticulously maintain records of all transactions conducted on the E-commerce Platform. The Platform will monitor purchases and document sales revenue, which will serve as the authoritative record for payment disbursements. Leadvisor will deduct the service fee from the sales amount collected from Clients before remitting the remaining amount to the Seller.
Settlement of transactions will be processed on a monthly basis, reconciling sales from the preceding calendar month in strict adherence to the settlement rules. Detailed settlement data will be compiled into a comprehensive data sheet and provided to the Seller for verification. Should the Seller identify any discrepancies or inaccuracies within the settlement data, they may request a verification. Any inconsistencies confirmed by Leadvisor will be adjusted and processed in the subsequent settlement cycle.
4.5 Invoice and Tax
Leadvisor will invoice the Client for the full product price and subsequently remit eighty percent (80%) of the net revenue, after deducting payment processing fees (such as Stripe fees) and banking charges, to the Seller upon issuance of invoice by the Seller for such amount. Each party shall bear responsibility for their respective tax obligations under relevant laws and regulations. If Leadvisor is mandated by any applicable laws to withhold taxes on behalf of the Seller, such taxes will be deducted from the amount payable by Leadvisor to the Seller.
4.6 Account Information
The Seller is required to provide accurate and up-to-date account information when submitting the Member Request, including the following details:
- Bank
- Account name
- Bank name
- Bank account number
- Bank address
- SWIFT/BIC code
The Seller agrees to promptly update this information in the event of any changes by notifying Leadvisor in writing. Leadvisor shall not be responsible for any losses or settlement failures resulting from outdated or inaccurate bank account information provided by the Seller.
4.7 No Refund Policy
Given the digital nature of the Products offered on the E-commerce Platform, refunds are not supported. Sellers must ensure that Clients are adequately informed of this no-refund policy at the time of purchase. Any issues or disputes arising from this policy will be managed in accordance with the Platform's established guidelines and procedures.
4.8 Subscription Plans
The E-commerce Platform may offer subscription plans that provide Clients with annual, quarterly, or monthly access to a curated list of Products. In such scenarios, Leadvisor will engage in thorough discussions with Sellers to determine the product list to be included in the subscription package. Both parties will negotiate in good faith to agree upon a suitable price for the Seller's participation in the subscription plan. Payments to Sellers will be based on the Client's first full access to the Seller's Products under the subscription plan. Specific terms and conditions regarding subscription plans will be detailed in a separate addendum mutually agreed upon by the parties.
4.9 Participation in Promotional Activities and Competitive Pricing:
The Seller shall participate in the promotional activities organized by the Platform. The Seller shall offer discounts or other benefits to the Platform's clients according to the Platform's unified arrangement. The Seller shall ensure that the prices provided to the clients are the most favorable, making the pricing competitive and attractive.
V. Order Fulfillment and Delivery Responsibilities
5.1 Order Fulfillment
Sellers are responsible for ensuring that all orders for the digital products or services placed on the E-commerce Platform are fulfilled in a timely and efficient manner. This includes providing Clients with access to the Products through secure means, such as a password or access key.
5.2 Delivery of Products
The delivery of Products must be executed in a secure and timely manner. Sellers are required to ensure that Products can be viewed, read, or otherwise used on the Platform. Depending on the nature and usage of the Products, some Products should be available for download immediately or within a specified time frame after purchase, while other some Products may need to be delivered offline or used via the Seller’s or a third-party platform. Sellers must provide clear instructions on how the products will be delivered or accessed by the Clients.
5.3 Licensing of Products
For Products that require licensing, Sellers are responsible for licensing Clients to use their Products (including all associated content) or otherwise authorizing Clients to use such content. These licenses and authorizations apply exclusively between the Seller and the Client and shall not impose any obligation or liability on Leadvisor. Where applicable and subject to adjustment by the Seller, the licensing terms should be clearly communicated.
5.4 Client Service and Support
Sellers are responsible for providing comprehensive support and services to the Clients when they sell or provide Products on the E-commerce Platform. This includes, but is not limited to, offering applications, providing services, installing and deploying products, Q&A solutions, upgrading and maintenance, and after-sale support. Leadvisor will not provide Sellers or their Clients with any user support or user services outside of the E-commerce Platform. Sellers shall provide off-site technical support services for not less than five (5) days a week and eight (8) hours per day through various means, including but not limited to, telephone support, email support, and online support. It is suggested that Sellers provide a professional support contact via email with available contact information to ensure Clients can reach them in a timely manner. Any disputes, penalties, and lawsuits arising from the Products provided by Sellers shall be borne independently by the Sellers, who shall be responsible for taking effective measures to indemnify Leadvisor from any liability or losses .
5.5 Product-Related Service
When Sellers publish Products on the E-commerce Platform, they must clearly define the service support content and Service Level Agreements (where applicable) for Clients, delivery completion standards and conditions, and other service agreements. Sellers shall provide a user service phone number or corresponding contact information and ensure that the contact information is authentic and credible, enabling Clients to reach them in a timely manner. Sellers must provide the corresponding Client service and technical service personnel for support. Sellers should specify clearly to Clients that they should read the terms and conditions of sale on our Rule Center and review any specific addendums regarding product order and delivery details online. When Clients click to purchase, they agree to our standard terms and conditions and the specific addendum provided by the Seller.
5.6 Response Timeframe
In the event that Sellers' Products cannot operate normally and cause Clients to be unable to use them, Sellers must provide solutions or alternative methods within twenty-four (24) hours. If the performance degradation of Sellers' Products causes difficulties for Clients, Sellers must provide solutions or alternative methods within forty-eight (48) hours.
5.7 Inquiries and Complaints
Sellers are responsible for addressing Client inquiries and complaints resulting from various issues with their Products . This includes problems related to the operating system level (including the operating system itself) that their Products come with. Sellers must reply and propose solutions within the timeframe promised to Clients. When it is impossible to determine whether the issue is with the Product itself or an infrastructure problem at the operating system level, Sellers are first responsible for locating the problem and providing support services.
VI. Compliance, Product Guarantee, and Intellectual Property
6.1 Compliance with Laws
Sellers shall ensure strict compliance with all pertinent local, national, and international laws and regulations, encompassing statutes and regulations concerning data protection pertinent to transactions, deals, and business activities. Sellers bear the onus of remaining apprised of legal prerequisites within their respective jurisdictions and ensuring that their business operations and practices are congruent with these legal standards. Such adherence is imperative for preserving the integrity and legality of the Products offered through the E-commerce Platform.
6.2 Product Guarantee
Sellers affirm that the Products exhibited or retailed on the E-commerce Platform conform to the mandates of applicable laws and regulations anddo not transgress any third party's intellectual property rights, including but not restricted to trademarks, patents, copyrights, and trade secrets. Sellers shall commit to the principle of good faith operation, vowing not to compromise the legitimate rights and interests of clients by reneging on commitments to supply goods, products, and/or services as undertaken in the ordinary course of business. Sellers further undertake to abstain from engaging in any activities that encroach upon the legitimate rights and interests of any third party.
6.3 Intellectual Property Rights
Sellers warrant and assert that they possess absolute and autonomous intellectual property rights to their goods, products, and materials, having duly procured all requisite licenses or authorizations from the pertinent rights holders and discharged any corresponding fees. Sellers further warrant that their Prodcuts do not contravene any applicable laws or regulations nor infringe upon the legitimate rights and interests of any third party. In the event of any third-party claims alleging infringement by Sellers’ Products disseminated on the E-commerce Platform, Leadvisor reserves the prerogative to take immediate remedial measures to safeguard its brand, including but not limited to the removal of the purportedly infringing Products from the E-commerce Platform, the retention of payment settlements owed to the Seller, and the issuance of directives to the Seller to redress the infringement claims. Should the Seller be found culpable for infringing upon any third-party rights, the Seller shall indemnify and hold Leadvisor harmless from all resultant damages, ensuring that Leadvisor shall not suffer any reputational harm or other damages arising from the Seller’s Products infringing upon any legitimate rights and interests of any third party or conflicting with the prior rights of any third party.
6.4 License Grant to Leadvisor
Moreover, the Seller hereby grants Leadvisor a non-exclusive, royalty-free license to utilize, exhibit, reproduce, publicly display, and disseminate the intellectual property rights and materials pertaining to the Seller’s trade names, trademarks, and service marks for the express purpose of promoting the E-commerce Platform and the commodities offered therein. The Seller shall indemnify and hold Leadvisor harmless against any claims, administrative or judicial penalties, suits, arbitrations, or losses arising out of or in connection with the Seller’s breach of this Agreement or the Seller’s lack of authority to make any of the representations or warranties set out in this section. In the event that the Seller fails to fulfill this indemnification obligation, resulting in Leadvisor incurring damages, the Seller shall be liable to fully compensate Leadvisor for all such damages.
VII. Client Service, Dispute Resolution, and Platform Oversight
7.1 Client Communication and Resolution Standards
7.1.1 Client Communication Obligations:
Sellers are legally bound to uphold stringent communication standards with Clients. Acknowledgment of all Client inquiries within a reasonable timeframe, taking into account global sales and time zone differences, is imperative. Subsequent resolution should be achieved promptly and effectively, demonstrating the professionalism and commitment of the Seller.
7.2 Dispute Resolution Mechanism
7.2.1 Efforts for Amicable Resolution:
In the event of a dispute, Sellers are required to make reasonable efforts to amicably resolve the matter directly with the Client. These efforts must be documented meticulously to ensure transparency and accountability.
7.2.2 Escalation Protocol:
In cases where direct resolution attempts between the Seller and the client are unsuccessful, the matter will be reviewed by our Platform's Client Management Team. After a thorough examination of the evidence presented, the Platform will take appropriate actions to ensure the integrity and reputation of our marketplace, and to uphold trustworthiness to our clients. Sellers shall respect the decision made by the Platform and perform their obligations in good faith.
7.3 Transparency in Policies and Client Satisfaction
7.3.1 Policy Transparency:
Sellers must ensure transparent communication of their policies to Clients, including return, refund, and warranty policies. These policies must adhere to standards of fairness, clarity, and consistency, reflecting the professionalism and integrity of the Seller.
7.3.2 Commitment to Client Satisfaction:
Sellers are expected to prioritize Client satisfaction by proactively addressing any concerns or grievances that may arise. This includes providing regular updates on order status and expeditiously resolving any delivery or Product-related issues to the utmost satisfaction of the Client.
7.4 Platform Oversight and Protection of Client Rights
7.4.1 Responsibilities of Platform Oversight:
We oversee and monitor activities on our Platform to ensure that Sellers provide high-quality Products to our Clients. This oversight is crucial for building a professional community and fostering trust among all stakeholders.
7.4.2 Safeguarding Client Rights and Interests:
We are steadfast in our commitment to safeguarding the rights and interests of all stakeholders within our Platform. This includes enforcing compliance with our policies, equitable resolution of grievances, and maintaining a transparent and professional marketplace environment.
7.4.3 Monitoring and Enforcement Measures:
Continuous monitoring of Seller activities on our Platform is undertaken to ensure compliance with prescribed policies and standards. We reserve the prerogative to undertake requisite enforcement actions against Sellers found to contravene our guidelines or engage in prohibited activities, including but not limited to suspension or termination of Seller accounts and legal recourse.
7.4.4 Transparency and Accountability Commitments:
We remain steadfast in upholding transparency and accountability within the marketplace. Any punitive measures taken against Sellers will be communicated forthrightly, affording Sellers the opportunity to appeal decisions or furnish additional evidence in their defense.
VIII. Data Protection, Confidentiality, and E-commerce Platform Management
8.1 Protection of Confidential Information:
Confidential information, encompassing technical and business data, whether publicly disclosed or not, remains proprietary and must be safeguarded by both parties. Unauthorized disclosure to third parties constitutes a breach of this Agreement, warranting appropriate remedial measures.
8.2 Adherence to Data Protection Laws:
Both parties must comply with applicable data protection laws, ensuring that data processing activities remain within legal confines. Sellers are obliged to refrain from any unauthorized data collection or misuse, adhering strictly to permissible data processing practices. International data transfers, if required, must be conducted in accordance with relevant laws and regulations, with Sellers assuming full legal liability for any violations.
8.3 Ownership and Oversight of Platform Data
8.3.1 Platform Data Rights:
Leadvisor retains proprietary rights over operational data pertaining to the E-commerce Platform, within the boundaries delineated by applicable legal frameworks.
8.3.2 Monitoring and Analysis Authority:
Leadvisor possesses the authority to monitor the operational status and content of the E-commerce Platform, as well as analyze transactional data generated therein. Sellers acknowledge and consent to Leadvisor's oversight activities, understanding that such endeavors are conducted within legal parameters.
8.4 Platform Management
8.4.1 Operational Management:
The E-commerce Platform provides operational support services encompassing management, maintenance, transactions, and settlement. Sellers acknowledge Leadvisor's pivotal role in delivering platform management services and will fully cooperate with Leadvisor’s monitoring activities to uphold platform integrity.
8.4.2 Suggestions:
Sellers irrevocably assign suggestions provided to Leadvisor, committing to offer requisite assistance for their implementation.
8.4.3 Oversight of Products:
Leadvisor reserves the authority to monitor and manage Products listed on the E-commerce Platform to ensure compliance with Platform standards and legal requirements. Should any issues arise, Leadvisor may take appropriate actions, including delisting the relevant Products, to maintain Platform integrity and protect user interests.
IX. Limitation of Liability and Indemnity
9.1 Limitations of Liability:
Leadvisor, its directors, employees, or agents shall not be liable to Sellers or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages arising from Sellers' use of the Platform, even if Leadvisor has been advised of the possibility of such damages. The liability of Leadvisor to Sellers for any cause whatsoever and regardless of the form of the action shall at all times be limited to the amount of fees collected from Sellers by Leadvisor.
9.2 Indemnification:
Sellers agree to defend, indemnify, and hold Leadvisor, its subsidiaries, affiliates, and all respective officers, agents, partners, and employees harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of various circumstances, including but not limited to Sellers' use of thePlatform, breach of these Legal Terms, breach of Sellers' representations and warranties set forth in these Legal Terms, Sellers' violation of the rights of a third party, including but not limited to intellectual property rights, and any overt harmful act toward any other user of the Platform with whom Sellers connected via the Platform. In any case where Leadvisor suffers from client disputes, clean claims, or other damages related to the products, the Seller shall indemnify Leadvisor for all such losses within the extent permitted by applicable law and regulations. Leadvisor reserves the right, at Sellers' expense, to assume the exclusive defense and control of any matter for which Sellers are required to indemnify Leadvisor, and Sellers agree to cooperate at their expense with Leadvisor's defense of such claims. Leadvisor will use reasonable efforts to notify Sellers of any such claim, action, or proceeding that is subject to this indemnification upon becoming aware of it.
X. Termination and Suspension
10.1 Termination by Leadvisor:
Leadvisor reserves the right to terminate this Agreement or suspend Sellers' accounts for non-compliance, with reasonable notice. Such termination or suspension shall be effective immediately upon written notification to the Sellers. In the event of termination, Leadvisor shall not be liable to Sellers or any third party for any claims, losses, damages, or liabilities arising out of or related to such termination. Termination of this Agreement shall be without prejudice to any rights or obligations accrued to the parties prior to the date of termination, including but not limited to any payment obligations or any obligations to indemnify, defend, and hold harmless Leadvisor as provided herein.
10.2 Suspension:
Leadvisor may, at its sole discretion, suspend Sellers' accounts and access to the E-commerce Platform at any time without notice for any reason, including but not limited to conducting investigations of suspected misconduct, compliance with legal requirements, or as otherwise necessary to protect Leadvisor’s interests or the integrity of the Platform. During the period of suspension, Sellers may be denied access to their accounts and any data or content contained therein, and Sellers agree that Leadvisor shall not be liable to Sellers or any third party for any claims, losses, damages, or liabilities arising out of or related to such suspension.
10.3 Termination by Sellers:
Sellers may terminate this Agreement and close their accounts by providing one-month written notice to Leadvisor provided that the Seller shall have no pending Product transactions with any Client and that the Seller shall continue to be liable for any after-sale services and quality commitments. Upon such termination, Sellers must cease all use of the E-commerce Platform immediately. Leadvisor reserves the right to withhold any payments due from clients on Products. Sellers further agree that Leadvisor shall not be liable to Sellers or any third party for any claims, losses, damages, or liabilities arising out of or related to Sellers' termination of this Agreement.
10.4 Effects of Termination:
Upon termination of this Agreement for any reason, all rights and obligations of the parties shall cease, except for the rights and obligations that by their nature should survive termination, including but not limited to the provisions regarding Limitation of Liability, Indemnity, Confidentiality, Governing Law and Jurisdiction, and Dispute Resolution. Termination of this Agreement shall not relieve Sellers of their obligation to remain liable to clients for any obligations or liabilities arising from transactions made prior to termination. Leadvisor shall have no obligation to maintain or forward any of Sellers' data or content after termination and may delete all such data or content in its possession unless otherwise required by law.
XI. Governing Law and Jurisdiction
This Agreement and any dispute, controversy, proceedings, or claim of whatever nature arising out of or in any way relating to this Agreement or its formation, including but not limited to any non-contractual obligations, shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region without regard to its conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is hereby expressly excluded.
XII. Dispute Resolution
12.1 Negotiation:
In the event of any dispute, claim, question, or disagreement arising from or relating to this Agreement or the breach thereof, the parties agree to first use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties.
12.2 Arbitration:
If the parties do not reach a solution within a period of thirty (30) days from the commencement of such negotiation, such dispute, controversy, or claim shall be finally settled by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules then in force, which rules are deemed to be incorporated by reference into this clause. The seat of arbitration shall be Hong Kong, and the language to be used in the arbitral proceedings shall be English. The arbitral tribunal shall consist of three arbitrators, with each party nominating one arbitrator and the two arbitrators so nominated nominating the third arbitrator, who shall act as the presiding arbitrator. If the two arbitrators fail to agree on the third arbitrator within thirty (30) days of their appointment, the third arbitrator shall be appointed by HKIAC.
12.3 Binding Effect:
The award of the arbitral tribunal shall be final and binding upon the parties, and judgment on the award rendered by the arbitrators may be entered in any court having jurisdiction thereof. The parties undertake to carry out any award without delay and waive their right to any form of recourse insofar as such waiver can validly be made. The costs of the arbitration, including the fees and expenses of the arbitrators, shall be borne by the parties in such proportions as the arbitral tribunal shall determine. Each party shall bear its own legal costs and expenses of arbitration.
12.4 Interim Measures:
Notwithstanding the foregoing, either party may seek interim or provisional relief, including injunctive relief, from the courts of the Hong Kong Special Administrative Region to protect its rights or property pending the completion of arbitration. The seeking of such relief shall not be deemed a waiver of the obligation to arbitrate.
12.5 Cooperation:
Each party agrees to cooperate fully and in good faith with the other party and the arbitral tribunal in the conduct of any arbitral proceedings. This includes the provision of documents, witnesses, and other evidence as reasonably requested by the other party or the arbitral tribunal, subject to the rules of evidence applicable to the arbitration.
XIII. Amendments to the Agreement
13.1 Amendments:
Leadvisor reserves the right to modify, amend, or otherwise change this Agreement at any time. Such amendments shall be effective upon posting on the E-commerce Platform or by other means of communication to Sellers. Sellers agree to be bound by any such amendments if they continue to use the Platform after the amendments have been posted or communicated. It is Sellers' responsibility to review this Agreement periodically for any changes. If Sellers do not agree to the amended terms, they must cease using the E-commerce Platform immediately. Any amendments shall not apply retroactively and shall only apply to claims or disputes arising after the effective date of the amendment.
XIV. Miscellaneous
14.1 Entire Agreement:
This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements, understandings, and representations, whether oral or written.
14.2 Severability:
If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
14.3 No Waiver:
The failure of either party to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to by the party in writing.
14.4 Assignment:
Sellers may not assign their rights or obligations under this Agreement without the prior written consent of Leadvisor. Leadvisor may assign its rights and obligations under this Agreement at its discretion.
14.5 Agreement Activation and Effective Date: This Agreement becomes effective when the Seller’s Member Request is verified and approved by Leadvisor Global. By submitting the Member Request and receiving approval, the Seller agrees to abide by the terms and conditions set forth in this Agreement.
Leadvisor Service Provider for Client Solution Center Agreement

This Leadvisor Service Provider for Client Solution Center Agreement ("Agreement") is made and entered into as of 2024-08-05 ("Effective Date"), by and between Leadvisor Global Limited, a Hong Kong entity ("Leadvisor" or “We”), and the Service Provider ("Service Provider").
Recitals
WHEREAS, Leadvisor operates a Service Solutions Center designed to facilitate professional services and business transactions on its platform at www.leadvisor.net (“Platform”);
WHEREAS, the Service Provider offers professional services that can benefit the Platform’s clients;
WHEREAS, the Service Provider wish to join in the Platform’s resource pool and matched with client service needs;
NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties hereby agree as follows:
1. Definitions
1.1 Client: Any individual or entity that uses the Platform to obtain professional services.
1.2 Engagement: The agreement between the Service Provider and a Client for the provision of services.
1.3 Annual Membership Fee: Annual fees charged by Leadvisor to its members for using the Platform with the fee rate updated from time to time.
2. Participation and Matching
2.1 Resource Pool Participation: The Service Provider agrees to be listed in the Platform’s resource pool, making their services available for potential client engagements.
2.2 Client Matching: The Platform will match the Service Provider with client needs based on the services offered and client requirements.
2.3 Confidentiality: Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the term of this Agreement.
2.4 Non-Disclosure: Neither party shall disclose confidential information to any third party without prior written consent from the other party.
3. Fees and Payment
3.1 Annual Membership Fee: The Platform will charge an Annual Membership Fee for participating in the resource pool. Details and terms of the Annual Membership Fee will be provided separately when implemented.
3.2 Client Service Quality and Payment: Upon mutual agreement between the Service Provider and the Client, they will sign a separate agreement regarding the engagement. The client service quality and payment terms will be in accordance with a separately signed engagement agreement between the Service Provider and the Client, negotiated in accordance with applicable law and professional ethics.
3.3 Most Favorable Pricing for Services: The Service Provider shall ensure that the prices for the services provided to the Client are the most favorable. The Service Provider shall participate in promotional activities organized by the Platform and offer discounts or other benefits to the Platform's clients as per the Platform's unified arrangement.
4. Service Standards and Compliance
4.1 Service Standards: The Service Provider agrees to deliver services to the Clients in accordance with the highest professional standards and the terms specified in the engagement agreement with the Clients. The Service Provider must ensure that the services meet or exceed client expectations. If Client feedback indicates dissatisfaction or poor service quality, the Platform reserves the right to review and mark the Service Provider's performance. Repeated negative feedback may lead to delisting of the Service Provider from the Resource Pool and/or the termination of this Agreement by Leadvisor.
4.2 Compliance: The Service Provider agrees to comply with all applicable laws and regulations in the provision of services. The Service Provider must adhere to all professional ethics and standards relevant to their field of service. If the Service Provider's actions or services damage the Platform's reputation, the Platform reserves the right to seek recourse and may delist the Service Provider from the Resource Pool and/or terminate this Agreement immediately.
5. Governing Law and Local Compliance
5.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Hong Kong. Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in Hong Kong, administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with its rules.
5.2 Local Law and Professional Regulations: The parties respect local law and professional regulations in the respective jurisdictions. Any term in this Agreement that is inconsistent with the local law in the Service Provider's jurisdiction will be ineffective, but this will not affect the other terms of the Agreement. The parties agree to negotiate in good faith to achieve the purpose of this Agreement in light of such local laws.
6. Liability Limitation
6.1 Platform's Liability: Our liability under this Agreement shall be limited to the amount of the Membership Fee received from the Service Provider. We shall not be responsible for any indirect, incidental, or consequential damages.
6.2 Indemnification: The Service Provider agrees to defend, indemnify, and hold Leadvisor, its subsidiaries, affiliates, and all respective officers, agents, partners, and employees harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of various circumstances, including but not limited to the Service Provider's use of the Platform, breach of these Legal Terms, breach of the Service Provider's representations and warranties set forth in these Legal Terms, the Service Provider's violation of the rights of a third party, including but not limited to intellectual property rights, and any overt harmful act toward any other user of the Platform with whom the Service Provider connected via the Platform. In any case where Leadvisor suffers from client disputes, claims, or other damages related to the services provided, the Service Provider shall indemnify Leadvisor for all such losses to the extent permitted by applicable law and regulations. Leadvisor reserves the right, at the Service Provider's expense, to assume the exclusive defense and control of any matter for which the Service Provider is required to indemnify Leadvisor, and the Service Provider agrees to cooperate at their expense with Leadvisor's defense of such claims. Leadvisor will use reasonable efforts to notify the Service Provider of any such claim, action, or proceeding that is subject to this indemnification upon becoming aware of it.
6.3 Right to Recourse: The Platform reserves the right to seek recourse and claim against the Service Provider for any loss or harm suffered due to the Service Provider's improper behavior, unsatisfactory service to Clients, or client disputes.
7. Miscellaneous
7.1 Termination: Either party may terminate this Agreement with a 30-day written notice. The Platform may terminate this Agreement immediately if the Service Provider fails to comply with the terms and conditions of this Agreement.
7.2 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to its subject matter.
7.3 Amendments: Any amendments or modifications to this Agreement must be in writing and signed by both parties.
7.4 Agreement Activation and Effective Date: This Agreement becomes effective when the Member Request is verified and approved by Leadvisor Global. By submitting the Member Request and receiving approval, the member agrees to abide by the terms and conditions set forth in this Agreement.

Platform: Refers to the online marketplace operated by Leadvisor Global Limited at www.leadvisor.net, designed to facilitate multiple functions including, but not limited to, the listing, showcasing, and sale of products and services by Sellers to Clients; allowing Clients and Users to post business needs and inquiries; providing Members with opportunities to access and respond to business opportunities and service requests; facilitating information sharing related to transactions and deals within the Members Area; and supporting professional networking and collaboration among global users and service providers.
Leadvisor: Refers to Leadvisor Global Limited, the entity that operates the Platform and provides a comprehensive range of services including, but not limited to, facilitating e-commerce of productized professional services, facilitating Seller and Client interactions, and Member cross-referrals of transactions and deals, establishing compliance with Platform policies, and supporting professional networking and business growth within the global community.
User: Any individual or entity that accesses or uses the Platform, including but not limited to Sellers, Clients, and Members, and utilizes its functions and features.
Client: Any individual, entity, corporation, partnership, or organization that purchases or intends to purchase Products listed on the Platform or registers and posts business needs and inquiries.
Products: All items, digital products, courses, and other offerings listed by Sellers on the Platform for display, promotion, and sale to Clients. These products include e-books, training courses, guidelines, templates, automation tools, software, and other forms.
Members: The professional firms, Sellers, and service providers as approved by the Platform and granted membership to enjoy member benefits, as specified in Platform policies and rules as updated from time to time or as agreed between the entity and Platform by separate membership files or agreements.
Seller: Any firm, entity, corporation, partnership, or organization that is authorized by Leadvisor and registers and is approved to list, advertise, and sell products or services on the Platform.
E-commerce Marketplace Guidelines: The set of rules, policies, and guidelines governing the rights, responsibilities, and obligations of Sellers utilizing the Platform, which may be updated periodically and will be communicated to Sellers accordingly.
Leadvisor Global E-commerce Seller Agreement: The agreement between Leadvisor Global Limited and Sellers, outlining the terms and conditions for listing, advertising, and selling products or services on the Platform. This agreement details the rights and obligations of Sellers, including compliance with Platform policies, adherence to quality standards, fulfillment of orders, provision of accurate product information, timely client response, and engagement in ethical business practices.
